M&A Attorney

This prominent independent power provider is seeking an M&A Attorney with direct expertise in creating and negotiating agreements for the purchase and development of DG-scale solar energy and storage projects to join its in-house legal team. This company is dedicated to acquiring, creating, financing, and running DG-scale solar energy and storage projects across the United States. Key responsibilities for this role will include (but not limited to):

 


•    Deliver realistic legal advice and help on a variety of commercial matters and organic growth strategies, such as renewable energy project development, joint ventures, and collaborations with local developers.
•    Compile and negotiate term sheets and letters of intent for asset acquisition.
•    Analyze, develop, and negotiate applicable agreements such as MIPA/APAs, site control, and revenue agreements. & other agreements and documentation related to acquisition and development transactions
•    Oversee and lead efforts by collaborating with internal transaction teams.
•    Provide transactional counsel for distributed solar and solar + storage acquisition and development transactions - community solar gardens, C&I/behind the meter, virtual net-metered, and AC/DC linked storage.
•    Assist the transaction, business development/deal origination, and structured finance teams with project-level legal guidance and support.
•    Obtain and manage the services of outside transactional counsel. 
•    Participate actively in the larger in-house legal team. 
•    Interact with the developer, seller, and offtake counterparties directly.
•    Ensure the consistency, clarity, and quality of acquisition transactions.
•    Directly reports to the General Counsel and Chief Development Officer.

 


Required and desired skillsets, experience and qualifications for this role: 

 


•    Juris Doctor (or LLB) degree from a recognized law school.
•    More than 4 years of expertise in renewable energy transactions, preferably in solar, in a legal, firm, or in-house.
•    Strong working experience with MIPAs and APAs.
•    Ability to collaborate closely with cross-functional internal teams and manage many transactions at the same time.
•    Solid MIPA experience is preferred.
•    Ability to utilize Excel spreadsheets, create excel trackers and be able to use Word and Powerpoint for reporting/presentations via teams or in person.
